1. Introduction

Welcome to Webfino Solutions Pvt. Ltd. ("Webfino", "we", "our", or "us"). These Terms & Conditions ("Terms") govern your access to and use of our website, mobile application, APIs, partner platforms, and services (collectively referred to as the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

2. User Eligibility

To use Webfino's Services, you must:

• Be at least 18 years old and have full legal capacity to enter into binding contracts under Indian law.
• Comply with all applicable laws, including but not limited to the Information Technology Act, 2000, DPDP Act, 2023, and RBI/NPCI regulations.
• Not be barred from receiving services under any applicable law or regulatory restriction.

If you are acting on behalf of a company or entity, you represent that you have the authority to bind that entity to these Terms.

3. Services Provided

3.1 Description

Webfino Solutions Pvt. Ltd. provides technology-based financial and payment solutions, including but not limited to:

• Payment Gateway (PG) and UPI integrations
• API-based merchant collections and settlements
• Business dashboard and analytics tools
• Partner support for lending and financial solutions

3.2 Limitations

• Webfino acts as a technology facilitator, not a bank, NBFC, or lending institution.
• Webfino does not itself extend credit or hold funds beyond its settlement timelines.
• Some services depend on third-party providers (banks, NBFCs, payment networks). Webfino is not responsible for any delay, downtime, or error caused by these external systems.

4. Account Creation & Management

4.1 Registration

To access certain features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

4.2 Termination or Suspension

Webfino may suspend or terminate your account immediately if:

• You provide false or misleading information.
• You engage in fraud, abuse, or illegal transactions.
• You violate any clause of these Terms or applicable law.
• Required by law enforcement, regulators, or banking partners.

5. User Obligations

As a user or merchant of Webfino Services, you agree to:

• Maintain the security of your account credentials.
• Use Services only for lawful business or personal transactions.
• Not use the platform for money laundering, fraud, gambling, or restricted goods/services.
• Not interfere with or attempt unauthorized access to our systems or networks.
• Avoid misuse of chargebacks or refunds for completed and valid transactions.

Webfino reserves the right to report suspicious activities to regulatory authorities.

6. Payment Terms

6.1 Settlements

All settlements are subject to banking hours, reconciliation, and T+1/T+2 timelines, depending on the service agreement and partner bank. Settlement may be delayed due to technical, compliance, or regulatory reasons.

6.2 Fees & Charges

Webfino may charge service fees or transaction fees as agreed with the merchant. Fees are exclusive of applicable taxes, which shall be borne by the user.

6.3 Payment Failures

Webfino is not responsible for payment failures caused by:

• Network issues, user errors, or incorrect account details.
• Bank or gateway downtime.
• Third-party service interruptions.

Refunds, if applicable, will be processed in accordance with the refund policy of the respective payment partner.

6.4 Dispute Resolution

For any transaction-related disputes, contact support@webfino.com within 7 working days of the issue. Webfino will coordinate with its partner institutions to resolve disputes in a fair and timely manner.

6.5 Limitation of Financial Liability

In no event shall Webfino's aggregate liability exceed the total fees paid by you for the transaction giving rise to the claim.

7. Intellectual Property Rights

All content, software, trademarks, logos, and materials on Webfino's platform are the exclusive property of Webfino Solutions Pvt. Ltd. or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services as per these Terms. You shall not reproduce, modify, distribute, sell, reverse-engineer, or decompile any part of the platform. Unauthorized use of our IP or brand assets is strictly prohibited.

8. Limitation of Liability

Webfino provides its Services on an "as is" and "as available" basis without any warranty, express or implied. We do not guarantee uninterrupted or error-free operation. Webfino shall not be liable for any loss of data, profits, or business interruption arising from use or inability to use the Services. You agree to indemnify and hold Webfino harmless against any claims, damages, or losses arising out of your misuse or violation of these Terms or applicable laws.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India. All disputes may be first attempted to be resolved through good-faith negotiation and then by arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the venue in Bengaluru, and language of arbitration being English.

10. Modification of Terms

Webfino reserves the right to modify, amend, or update these Terms at any time. Updates will be posted on our website at https://www.webfino.com/terms with the revised "Last Updated" date. Users will be deemed to have accepted the updated Terms by continuing to use the Services after the publication of changes.
